Terms of Service
The agreement between you and Onvarp — what we provide, what you are responsible for, and how either of us can end it.
1. Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and Onvarp ("Onvarp", "we", "us") covering the onvarp.com website, the Onvarp apps, and every dynamic QR code, link and landing page you create with them (together, the "Service").
By creating an account, or by using the Service in any way, you accept these Terms. If you are accepting on behalf of a company or other organisation, you confirm you have authority to bind it, and "you" means that organisation.
If you do not agree, do not use the Service.
2. What Onvarp provides
Onvarp combines a dynamic QR code, a dynamic short link and a customizable landing page so that one code routes every device to the right destination, stays editable after it is printed, and reports the marketing data behind every scan.
- Dynamic codes and links whose destination you can change at any time without reprinting.
- Intelligent device routing across iOS, iPad, Android, Huawei and desktop, with a fallback destination.
- A landing-page builder, lead-capture forms, vCards and mission gates.
- Scan and click analytics, attribution and export.
Features vary by plan. The plan comparison on our pricing page forms part of these Terms, and we may add, change or retire individual features as the product develops (see §13).
3. Accounts, teams and eligibility
You must be at least 18 years old, or the age of majority where you live, and legally able to enter a contract. The Service is a business tool and is not offered to children.
- Give accurate registration details and keep them current.
- You are responsible for everything that happens under your account, including the acts of team members you invite and any seat you assign.
- Keep your credentials confidential. Enable two-factor authentication where your plan offers it, and tell us promptly at [email protected] if you suspect unauthorised access.
- Workspace administrators can see, edit and export the codes, analytics and leads in their workspace — including those created by other members.
- You may not share one seat between people, or resell access to the Service, unless we have agreed in writing.
4. Plans, billing and cancellation
Paid plans are billed in advance in US dollars through our payment processor. Prices are those published on our pricing page at the time you subscribe, exclusive of any VAT, withholding or other taxes, which are your responsibility.
- Monthly subscriptions
- Renew automatically each month until you cancel. Cancel at any time and you keep access until the end of the period you have already paid for. There is no lock-in and no cancellation fee.
- Annual subscriptions
- Billed once for the year at a 30% discount and run for the full prepaid term. Cancelling stops the next renewal; the current year is not refunded on a pro-rata basis unless the law where you live requires it.
- Event Pass (Expo)
- A one-time charge for a single 30-day event, with no recurring billing. It simply ends when its 30 days are up, and the links it created stop resolving unless you move them to another plan.
- Enterprise
- Governed by a separate written order form or master agreement, which prevails over these Terms wherever the two conflict.
- Failed payment
- If a charge fails we may retry it and, after notice, downgrade or suspend the account. Data is retained through the suspension window described in §14 before deletion.
- Price changes
- We may change prices with at least 30 days' notice. A change never affects a term you have already paid for, and you can cancel before it takes effect.
Except where stated above or required by law, payments are non-refundable. If you believe you have been billed in error, contact us within 60 days and we will investigate.
5. The Free plan and free QR codes
Static QR codes generated on our website are free forever, unlimited, watermark-free and cleared for commercial use. They do not expire, they are not tracked, and they do not require an account — but because a static code encodes its destination directly, it cannot be edited or repointed once generated.
The Free plan includes one dynamic link. A free dynamic link stays live for 90 days from the day it is created. After that it shows an expired page with an upgrade prompt rather than a broken 404, so printed material never dead-ends.
We may change the limits of the Free plan, or stop offering it, on reasonable notice. Paid plans are unaffected for the term you have paid for.
6. Your content
You keep all rights in the destinations, landing-page content, logos, images, form fields and other material you put into the Service ("Your Content"). We claim no ownership of it.
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt and display Your Content strictly to the extent needed to operate, secure and support the Service for you. The licence ends when you delete the content or close your account, except for copies retained in routine backups until they cycle out.
You are responsible for having the rights to everything you upload, including any trademark or image you place in a QR code or on a landing page.
7. Acceptable use
A redirect service is attractive to abuse, so this section is enforced strictly. You must not use the Service — or point a code or link at anything — that:
- is unlawful, or infringes anyone's intellectual property, privacy or other rights;
- distributes malware, spyware, or drive-by downloads;
- conducts phishing, credential harvesting, or impersonates a person, brand or institution;
- runs a scam, a deceptive investment or cryptocurrency scheme, or a fraudulent payment page;
- hosts child sexual abuse material, content that sexualises minors, or non-consensual intimate imagery;
- harasses, threatens, or incites violence or hatred against people or groups;
- cloaks or misrepresents a destination — showing our scanners or reviewers a different page from the one real visitors receive;
- sends unsolicited bulk messages, or drives traffic acquired through spam;
- circumvents plan limits, or probes, scrapes, load-tests or reverse-engineers the Service without our written consent;
- interferes with the Service's operation, security or integrity, or with other customers' use of it.
We may scan destinations for abuse, and we may remove a link, suspend an account or report activity to the authorities where we reasonably believe this section has been broken. Where the circumstances allow it, we will tell you first.
8. Destinations and link integrity
A dynamic code's destination is yours to set and yours to change — including after the code has been printed, distributed or handed to a third party. You are solely responsible for where a code leads at any moment, and for making sure a repointed destination remains consistent with what people were told the code was for.
We do not control, endorse or vet the destinations our customers choose beyond the abuse screening described in §7, and we are not responsible for the content, security or privacy practices of a destination site once a visitor arrives there.
Scan analytics are provided as measured. Bot filtering, network caching, privacy tooling and offline scans mean counts are a close estimate rather than an audited figure, and should not be used as the sole basis for a payment obligation to a third party without independent verification.
9. Lead data and data protection
Where you switch on lead capture, forms, missions or vCards, the people who submit their details are your contacts, not ours. For that data you are the controller and we are your processor: we handle it on your documented instructions and only to run the Service.
That makes several things your responsibility: having a lawful basis to collect the data, giving those people your own privacy notice, honouring their access and deletion requests, and configuring the built-in PDPA and GDPR consent step appropriately for your jurisdiction. We log consent on every submission and hash visitor IP addresses, but we cannot supply your legal basis for you.
Our handling of personal data for which we are the controller — your account, billing and website usage — is described in our Privacy Policy, which forms part of these Terms.
Enterprise customers, and any customer who asks, can execute a separate Data Processing Agreement with Standard Contractual Clauses. Contact [email protected].
10. Our intellectual property
The Service, including its software, design system, documentation and the Onvarp name and logo, belongs to us and our licensors. These Terms grant you a limited, revocable, non-transferable right to use the Service — not to own any part of it.
You may not copy, modify, translate, create derivative works from, or reverse-engineer the Service, remove our notices, or use our branding without written permission except to state factually that you use Onvarp.
The QR Code specification itself is an open standard, and the codes you generate are yours to use commercially without royalty to us.
11. Feedback
If you send us ideas, suggestions or feature requests, we may use them freely and without obligation, payment or attribution. Please do not send us anything you consider confidential or want to keep exclusive rights over.
12. Third-party services
The Service integrates with third parties you choose to connect — app stores, CRMs, webhook endpoints, LINE and other social platforms, and Meta, TikTok or Google retargeting pixels you add to your own landing pages.
Those services are governed by their own terms and privacy notices, and any pixel you add is your responsibility to disclose to your visitors. We are not liable for a third-party service's availability, changes to its API, or what it does with data you send it.
13. Availability, changes and beta features
We work hard to keep redirects fast and available, and our published performance figures reflect what the routing layer is engineered to achieve. Unless you have a written Enterprise SLA, however, the Service is provided without a guaranteed uptime commitment, and we may carry out maintenance that briefly interrupts it.
We may add, change or discontinue features. If we retire something you depend on, or make a change that materially reduces the Service, we will give reasonable notice and — for a prepaid term you can no longer use as intended — a pro-rata refund of the unused portion.
Features labelled beta, preview or early access are provided as-is, may change or disappear without notice, and are excluded from any SLA.
14. Suspension and termination
You can stop using the Service and close your account at any time from the dashboard. Export your analytics and leads first — closure is not reversible.
We may suspend or terminate your account if you materially breach these Terms (in particular §7), if payment fails and stays unresolved after notice, if we are required to by law, or if your use puts the Service or other customers at risk. For anything other than a serious or repeated breach we will give you notice and a reasonable chance to fix the problem.
- On termination, your right to use the Service ends immediately and your dynamic codes and links stop resolving.
- We retain your data for 30 days after termination so you can reactivate or export, then delete it, subject to the retention periods in the Privacy Policy and to any legal obligation to keep records.
- Terms that by their nature should survive — content licences already granted, intellectual property, disclaimers, liability limits, indemnity and governing law — survive termination.
Printed codes will keep leading somewhere after termination. Plan your reprint or redirect before you close an account.
15. Disclaimers
Except where the law does not allow it, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free or secure.
Nothing in these Terms excludes liability that cannot lawfully be excluded, and if you are a consumer you keep any mandatory consumer rights the law in your country gives you.
16. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill, even if advised such damages were possible.
Our total aggregate liability arising out of or relating to the Service in any 12-month period is limited to the greater of (a) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) USD 100.
These limits do not apply to either party's liability for fraud, wilful misconduct, death or personal injury caused by negligence, or to your obligation to pay amounts due.
17. Indemnity
You will defend and indemnify us against third-party claims, damages and reasonable costs arising from Your Content, from the destinations you route codes to, from lead data you collect through the Service, or from your breach of these Terms or of applicable law.
18. Governing law and disputes
These Terms are governed by the laws of Thailand, without regard to its conflict-of-laws rules, and the courts of Thailand have exclusive jurisdiction — except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
If you are a consumer resident elsewhere, this clause does not deprive you of the protection of mandatory laws of your country of residence, or of your right to bring proceedings there.
Before starting formal proceedings, please contact us so we can try to resolve the matter directly — most issues are settled far faster that way.
19. General terms
- Entire agreement
- These Terms, the Privacy Policy, the published plan comparison and any Enterprise order form make up the whole agreement between us and replace any earlier understanding on the same subject.
- Changes
- We may update these Terms. The "last updated" date above always reflects the current version, and for material changes we will give notice by email or in the app at least 30 days before they take effect. Continuing to use the Service after that means you accept the new version.
- Assignment
- You may not assign these Terms without our written consent. We may assign them to an affiliate or to a successor in a merger, acquisition or sale of assets.
- Severability and waiver
- If any provision is held unenforceable, the rest stays in force. Not enforcing a right on one occasion is not a waiver of it.
- No partnership
- These Terms do not create a partnership, agency, employment or joint-venture relationship between us.
- Force majeure
- Neither party is liable for a failure to perform caused by events beyond its reasonable control, such as natural disasters, war, industrial action, or the failure of a major infrastructure or connectivity provider.
